Mr. Terry Okpoko

Mr. Okpoko is a Partner based at the Head Office of the firm and also works at our affiliate offices in Texas and New York.

He obtained a bachelor of Laws Degree from Bendel State University (now Ambrose Alli University) in 1990 and a Master of Laws Degree with specialism in Corporate and Commercial Law from the London School of Economics and Political Science – University of London in 1996.

Mr. Okpoko has a broad legal background with more than 25 years multi-jurisdictional experience in Corporate/ Commercial law and Real Estate Law; and a unique combination of varied experience in cross border practice in Europe, Africa, the Caribbean and the United States of America.

His Corporate/Commercial casework includes: drafting various commercial Agreements including Sale/Purchase Agreement for hydrocarbon products, Biomass/Feedstock Supply Agreements, EPC(M) agreements for both commercial and mixed –Use and non-commercial Real Estate Developments; incorporation of on/off-shore companies, including advising/drafting: governing documents, various corporate finance agreements (including mezzanine finance), Shareholders´ agreements, share purchase/sale agreements, JVs agreements, M&A transactions (including conducting relevant due diligence work), Options Agreements, Pre-emption rights, NDAs; providing a full range of Company Secretarial services; advising on compliance with statutory/non-statutory laws/Rules including the U.S. Foreign Corrupt Practices Act and their equivalents as it relates to the Clients` business activities; assisting clients in the development of best practices manual regarding Regulatory/Compliance requirements.

Mr. Okpoko is dual qualified as an Attorney in Nigeria and the United States of America (New York State).
